Terms and Conditions TEO Academy Ltd.

Welcome to TEO Academy Ltd! These Terms  and Conditions ("Terms") govern your access to and use of our website, platform, and all related services (collectively, the "Service"). By accessing or using the Service, you signify your agreement to be bound by these Terms. If you do not agree with any part of these Terms, you must not use or access the Service.

1. Introduction to TEO Academy Ltd (AKA TEO Academy)

TEO Academy is an online platform that acts as a marketplace to connect individuals seeking academic support ("Students") with independent professional educators and subject matter experts ("Tutors") for tutoring services. Our operations are based in the United Kingdom.

2. Eligibility for Service Use

To be eligible to use our Service, you must be at least 18 years of age and possess the legal capacity to enter into a binding contract. If you are under 18 years old, you may only use the Service under the direct supervision and with the explicit consent of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security.

Accurate Information: When creating your account, you agree to provide true, accurate, current, and complete information. You are responsible for promptly updating your account details to ensure they remain current.
Account Security: You are solely responsible for safeguarding your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorised access to or use of your account.
Single Account: Each individual user is permitted to maintain only one account on the platform. One account on the platform constitutes one user. (See separate terms subsection 3A for corporate accounts with multiple users). 

3A. Corporate Accounts and Employee Usage

This subsection applies to organisations, businesses, or other entities ("Corporate Clients") that purchase access to the Service for use by their employees or authorised personnel ("Employees").
  • Corporate Client Responsibility: The Corporate Client acknowledges and agrees that it is solely responsible for its Employees' use of the Service and for ensuring that all Employees comply with these Terms. The Corporate Client shall be responsible for any breach of these Terms by its Employees.
  • Employee Compliance: Employees accessing the Service under a Corporate Client account are bound by these Terms, including all responsibilities, prohibitions, and limitations of liability applicable to individual users.
  • Account Management: The Corporate Client is responsible for the creation, management, and termination of Employee accounts under its corporate plan. The Corporate Client must notify TEO Academy promptly of any changes to employee status or authorisation that would affect their access to the Service.
  • Payment and Billing: All financial arrangements, including billing and payment for Employee access, will be governed by a separate agreement between TEO Academy and the Corporate Client, in addition to the relevant sections of these Terms.
  • Data and Privacy: The Corporate Client agrees to comply with all applicable data protection laws, including the GDPR, in relation to any personal data of its Employees processed through the Service. TEO Academy's Privacy Policy applies to all users, including Employees.
  • Indemnification: The Corporate Client agrees to indemnify and hold harmless TEO Academy from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from or relating to its Employees' use of the Service or any breach of these Terms by its Employees.

4. Nature of Our Service

TEO Academy operates as an intermediary platform facilitating the connection between Students and Tutors. We do not employ Tutors, nor are we responsible for the direct provision, quality, legality, or suitability of the tutoring services offered by Tutors. Tutors engage with Students as independent contractors. We do not endorse any specific Tutor, and any reliance on information provided by Tutors is at your own risk.

5. Tutor's Responsibilities
  • Expertise & Qualifications: Tutors warrant that they possess the necessary academic qualifications, professional expertise, and teaching experience to competently deliver the tutoring services they advertise.
  • Professional Conduct: Tutors agree to conduct themselves in a professional, ethical, and respectful manner during all tutoring sessions and interactions with Students and, where applicable, their parents or guardians.
  • Content and Methodology: Tutors bear sole responsibility for the accuracy and appropriateness of the educational materials they utilise and the teaching methodologies they employ during sessions including the use of TEO Academy’s library of resources. (See subsection 5A). 
  • Legal Compliance: Tutors commit to adhering to all applicable laws and regulations within the United Kingdom, including but not limited to those pertaining to data protection (GDPR) and safeguarding.
 
 
 
5A. Use of Platform Resources
  • Permitted Use: Tutors are granted a limited, non-exclusive, non-transferable licence to access and use the library of resources provided by TEO Academy (the "Platform Resources") solely for the purpose of delivering tutoring sessions through the Service. This includes using resources during live sessions and for preparation directly related to sessions on the platform.
  • Prohibited Use: Tutors must not:

Redistribute, sell, licence, lease, or otherwise make available the Platform Resources to any third party outside of the Service.

Use the Platform Resources for any commercial purpose other than facilitating tutoring sessions on TEO Academy.

Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Platform Resources.

Remove any copyright, trademark, or other proprietary notices from the Platform Resources.

  • Intellectual Property: Tutors acknowledge that all intellectual property rights in the Platform Resources belong to TEO Academy or its licensors. No rights are transferred to Tutors for any use beyond that explicitly permitted herein.
  • Reporting Issues: Tutors agree to report promptly to TEO Academy any errors, inaccuracies, or technical issues encountered with the Platform Resources.
  • TEO Academy's Disclaimer: While TEO Academy endeavours to provide accurate and relevant resources, tutors bear sole responsibility for the accuracy and appropriateness of the educational materials they utilise from the platform resource library. 

6. Student's Responsibilities
  • Preparation for Sessions: Students are expected to arrive at scheduled tutoring sessions prepared with any relevant materials, questions, or specific learning objectives.
  • Respectful Engagement: Students agree to interact with Tutors in a courteous, constructive, and respectful manner.
  • Appropriate Use: The Service is to be used strictly for legitimate educational purposes. Any unlawful, disruptive, or inappropriate use is strictly prohibited.
  • Parent/Guardian Oversight (for Minors): Parents or legal guardians of Students under 18 acknowledge their ongoing responsibility to supervise their child's use of the Service and their interactions with Tutors.
 
7. Fees, Payments, and Cancellations
  • Pricing: Tutoring session fees are determined by individual Tutors and will be clearly displayed on their respective profiles or during the booking process.
  • Payment Processing: All financial transactions for tutoring services are processed securely through our integrated third-party payment gateway. You agree to provide valid and up-to-date payment information.
  • Refund Policy: Our comprehensive refund policy is available below.
  • Cancellation Policy: All cancellations of scheduled tutoring sessions are subject to the platform's cancellation policy (as outlined in Section 7A below). Tutors may also communicate additional, more flexible rescheduling options, but these do not supersede the platform's core cancellation rules.
 
 
7A. Platform Cancellation Policy

This section outlines the standard cancellation policy applied by TEO Academy to all tutoring sessions.
  • Cancellations by Student:

More than 12 Hours Notice: If a Student cancels a session with more than 12 hours' notice prior to the scheduled start time, a full refund will be issued to the original payment method.

Less than 12 Hours Notice: If a Student cancels a session with less than 12 hours' notice prior to the scheduled start time, the session will be charged in full, and no refund will be issued. This policy is in place to compensate Tutors for their time and preparation that cannot be reallocated on short notice.

  • Cancellations by Tutor:

If a Tutor cancels a scheduled session at any time, the Student will be offered the option to either reschedule the session with the same Tutor or receive a full refund.

  • Technical Issues:

If a session is significantly disrupted or unable to proceed due to verifiable technical issues on TEO Academy's side, a full refund or rescheduling will be offered at the Student's discretion. Issues arising from the Student's or Tutor's personal internet connection, device malfunction, or software incompatibility are not eligible for a refund.

  • How to Cancel: All cancellations must be made through the platform's scheduling interface or by contacting support. The exact time of cancellation will be recorded by the platform.
 
8. Intellectual Property Rights

All content displayed on the TEO Academy website and platform, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of TEO Academy or its content suppliers and is protected by United Kingdom and international copyright laws. The slogan "Master English. Master Global Careers” is also protected by the above. You are prohibited from reproducing, distributing, modifying, transmitting, or creating derivative works from any part of our Service without our explicit written consent.

9. User-Generated Content
  • License Grant: By submitting, posting, or displaying any content (e.g., messages, files, feedback, or recorded sessions where applicable and consented to) on or through the Service, you grant TEO Academy a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the operation of the Service. The use of your profile image may only be used in marketing with your explicit consent. (See subsection 9B). 
  • Your Responsibility: You are solely responsible for any content you submit and affirm that you possess all necessary rights to grant the aforementioned license. You agree that your content will not violate any third-party rights or applicable laws.

9A. Marketing Consent for Profile Images

  • Agreement of consent: We require your consent to use your profile image for marketing and promotional purposes related to the Service. This consent is given when agreeing to out terms and condition. If granted, you provide TEO Academy a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, and display your profile image for such purposes, including, but not limited to, featuring your profile image on our website, social media channels, and advertisements.
  • Revocation of Consent: You may revoke this consent at any time by removing your profile image from your account settings. Upon removal, TEO Academy will cease using the image for new marketing materials within a reasonable timeframe, though existing materials may continue to circulate.
  • No Obligation: TEO Academy is under no obligation to use your profile image for marketing purposes, even if consent is granted.

10. Prohibited Activities

You agree not to engage in any of the following prohibited activities:
  • Using the Service for any illegal or unauthorised purpose.
  • Harassing, threatening, defaming, or otherwise violating the legal rights of others.
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Interfering with or disrupting the integrity or performance of the Service or its underlying servers.
  • Attempting to gain unauthorised access to any part of the Service, other accounts, or computer systems connected to the Service.
  • Engaging in any activity that could damage, disable, overburden, or impair the Service or its functionality.
  • Bypassing or attempting to bypass our payment or booking system by arranging or conducting tutoring sessions directly outside the platform.
 
11. Termination and Suspension

We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon any termination, your right to use the Service will immediately cease.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis. TEO Academy makes no warranties, express or implied, regarding the Service or the tutoring provided by Tutors, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. While we make every effort to protect our platform, we do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Your use of the Service is at your sole risk.

13. Limitation of Liability

To the maximum extent permitted by applicable law, TEO Academy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service (including Tutors or Students); (c) any content obtained from the Service; and (d) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

14. Indemnification

You agree to defend, indemnify, and hold harmless TEO Academy and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees), resulting from or arising out of (a) your use and access of the Service, by you or any person using your account and password; (b) your breach of these Terms; or (c) your violation of any rights of a third party, including without limitation any privacy or intellectual property rights.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Modifications to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will endeavour to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Refund Policy TEO Academy Ltd

This Refund Policy outlines the terms and conditions under which refunds may be issued for services purchased through TEO Academy. By using our Service, you agree to this Refund Policy in conjunction with our main Terms and Conditions.

1. General Policy

TEO Academy acts as a platform connecting Students with Tutors. Payments for tutoring sessions are processed via our secure payment gateway. This policy governs refunds for payments made through our platform.
2. Eligibility for Refunds
Refunds may be considered in the following circumstances:
  • Tutor Non-Attendance: If a Tutor fails to attend a scheduled and paid-for session without prior notification or valid reason. 
  • Technical Issues: If a session is significantly disrupted or unable to proceed due to verifiable technical issues on TEO Academy's side.
  • Tutor Cancellation: If a Tutor cancels a session and no suitable rescheduling can be agreed upon between the Student and Tutor.

3. Non-Refundable Situations

No refunds will be issued in the following circumstances:
  • Student Non-Attendance: If a Student fails to attend a scheduled session within 15 minutes of the scheduled starting time.
  • Cancellation within 12 Hours: Sessions cancelled by the Student within 12 hours of the scheduled start time will not be eligible for a refund. This policy is in place to compensate Tutors for their time and preparation.
  • Dissatisfaction with Tutoring Quality: While we strive to connect Students with high-quality Tutors, TEO Academy is not responsible for the direct provision of tutoring services. Dissatisfaction with a Tutor's teaching style, pace, or content, where the session was delivered as scheduled, is generally not grounds for a refund. We encourage Students to make use of the Trial Lessons (see section 4), open communication between Students and Tutors to address such concerns, or for Students to explore other Tutors on the platform. 


  • Disputes Resolved in Tutor's Favour: If a dispute between a Student and Tutor is reviewed by TEO Academy and determined that the Tutor fulfilled their obligations as per the booking agreement.
  • Internet Connectivity/Device Issues (User Side): Issues arising from the Student's or Tutor's personal internet connection, device malfunction, or software incompatibility are not eligible for a refund. 

4. Trial Lessons: Satisfaction Guarantee

We are committed to ensuring Student satisfaction with our tutoring services. If you are not satisfied with your initial paid trial session, you may be eligible for our Satisfaction Guarantee.

Eligibility: To be eligible for this guarantee, you must:
Be a first-time Student with the specific Tutor in question.
Express dissatisfaction within 24 hours of the completion of your initial paid session with that Tutor by contacting our support team at TEO Academy.
Provide a brief explanation of your dissatisfaction.

Guarantee Benefit: Upon review and approval of your eligibility, TEO Academy will provide you with up to two (2) additional trial lessons at no extra cost with a different Tutor or Tutors of your choosing, subject to availability. These trial lessons are intended to help you find a Tutor who better meets your needs.

Limitations:

This guarantee applies only to the first paid session with a new Tutor.
It can be claimed once per Student.

It does not apply to dissatisfaction arising from technical issues on the Student's end, or if the student failed to adequately prepare for the session.
The trial lessons provided under this guarantee are not exchangeable for cash refunds or credit.

5. How to Request a Refund

All refund requests must be submitted through our platform's support system or by contacting us directly at info@TEOAcademy.com within 24 hours of the scheduled session end time. Please include:
  • Your account name.
  • The Tutor's name.
  • The date and time of the session.
  • A detailed explanation of the reason for your refund request.
 
6. Refund Process
  • Submission: Upon receiving your refund request, we will review the details.
  • Investigation: We may contact both the Student and the Tutor to gather more information regarding the session and the reported issue. This may include reviewing session logs or communications.
  • Decision: TEO Academy will make a decision regarding the refund request within 5 business days. (We strive to resolve any disputes as quickly as possible). Our decision is final.
  • Processing: If a refund is approved, it will be processed back to the original payment method within 7-10 business days. The actual time for the funds to appear in your account may vary depending on your bank or payment provider.
7. Tutor-Specific Cancellation Policies

Our platform has a general refund policy, but individual Tutors may allow some flexibility in discussion with Students. This will be at the discretion of the Tutor. In any dispute TEO Academy Policies will apply. 
8. Changes to This Policy

We reserve the right to modify or update this Refund Policy at any time. Any changes will be effective immediately upon posting the revised policy on our website. We encourage you to review this policy periodically.

In terms of Payments and payouts, UK Law & tax law, the following terms and conditions apply.  
 
Please read these Terms and Conditions carefully. By accessing or using our platform, you agree to be bound by these terms.

Part 1: General Terms Applicable to All Users (Students & Tutors) 
 
 
Acceptance of Terms: By creating an account or using any part of TEO Academy, you agree to comply with and be bound by these Terms and Conditions, our Privacy Policy, and any other policies or guidelines we publish. If you do not agree, you must not use our platform. 
 
Platform's Role: TEO Academy Ltd operates as a digital marketplace that facilitates connections between students and independent tutors. We provide the technological infrastructure for scheduling, communication, and payment processing. We do not directly provide tutoring services, nor do we employ tutors. Tutors are independent contractors. 
 
Account Registration: To use our platform, you must register and create an account. You agree to provide accurate, complete, and current information during registration and to keep this information updated. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. 
 
Prohibited Conduct: You agree not to: 
 
Violate any applicable laws or regulations. 
Engage in any fraudulent, deceptive, or misleading practices. 
Impersonate any person or entity. 
Interfere with or disrupt the operation of the platform. 
Circumvent our payment system or any fees. 
Share or use personal information obtained from the platform outside of the platform without explicit consent. 

Dispute Resolution: We encourage amicable resolution of disputes. Users agree to first attempt to resolve any issues arising from their use of the platform or tutoring services directly. If unresolved, TEO Academy may, at its discretion, offer mediation or support in resolving the dispute, but is not obligated to do so.

Part 2: Terms Specific to Students 
 
Tutoring Service Agreement: When you book a lesson or service with a tutor through TEO Academy, you are entering into a direct contract for services with that individual tutor. TEO Academy is not a party to this contract. 
 
Payment Processing: 
 
Payment to Platform: All payments for tutoring services, including trial lessons and subscription packages, are made directly to TEO Academy. This allows us to manage and process all transactions securely on your behalf. 
 
Our Commission: TEO Academy will deduct a commission from the total amount paid by you, before transferring the remainder to the tutor. This commission rate may vary depending on the specific service type (e.g., trial lessons vs. regular sessions) or your engagement with the platform, as detailed at the time of booking. 
 
Understanding Commission for Trial Lessons: For certain promotional services like trial lessons, a higher commission rate may initially be applied to the payment made to TEO Academy. If you subsequently purchase a qualifying subscription package with the same tutor within a specified period (3 days), the commission on the original trial lesson will be adjusted, and the tutor will receive a retroactive payout for the difference. This adjustment will be handled automatically by the platform. 
 
Pricing: Tutors set their own rates for their services. These rates are clearly displayed on their profiles and at the time of booking. 
 
Refunds: Refund policies are determined by TEO Academy, above, and are outlined in our Refund Policy. Refunds, when issued, will be processed by TEO Academy. 
 
Service Expectations: While we strive to connect you with high-quality tutors, TEO Academy does not guarantee the quality or outcome of any tutoring session. Any concerns about a tutor's performance should be reported to us.

Part 3: Terms Specific to Tutors 
 
Independent Contractor Status: You acknowledge and agree that you are, and at all times will remain, an independent self-employed contractor providing services directly to students. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and TEO Academy. 
 
You are responsible for your own work methods, schedule, and resources. 
You are responsible for all your own business expenses. 
 
Payment and Payouts: 
 
Payment Collection by Platform: You authorise TEO Academy to collect all payments from students for your tutoring services on your behalf. 
 
Commission Deduction: You agree that TEO Academy will deduct a pre-agreed commission percentage from the total amount paid by the student before transferring the remaining funds to your connected Stripe account. This commission may vary based on service type (e.g., trial lessons vs. regular sessions) or student conversion, as agreed between you and the platform. 
 
Trial Lesson Payouts: For trial lessons, you understand that an initial higher commission may be applied by the platform. However, if the student subsequently purchases a qualifying subscription package with you within 3 days, TEO Academy will automatically transfer the adjusted payout for the trial lesson (representing the original fee minus the standard commission) to your account as an incentive. 
 
Payout Schedule: Funds will be transferred from TEO Academy's Stripe balance to your connected Stripe account at your request, once per day and upon reaching a minimum £10 threshold, as outlined in your Tutor Onboarding or Dashboard. 
 
Stripe Account: You are required to maintain an active Stripe Connect account, linked through our platform, to receive payouts. You agree to Stripe's Connected Account Agreement and any applicable Stripe terms. Stripe has been chosen by TEO Academy as the payment gateway for its low fees and ease of use.  
 
Your Tax Obligations (UK & International): 
 
As a self-employed individual, you are solely responsible for your own tax affairs. This includes: 
 
Registering for Self Assessment with HM Revenue & Customs (HMRC) in the UK where applicable (if tax-resident in the UK).
 
Declaring your income earned through TEO Academy Ltd (and any other sources) to HMRC or your relevant national tax authority. 
 
Paying your own Income Tax and National Insurance Contributions (or equivalent taxes/contributions in your country of tax residence). 
 
Monitoring your own VAT registration threshold and registering for VAT if required by UK or your local laws.
 
 
Digital Platform Reporting:  
 
You acknowledge and agree that, as a Digital Platform Operator, TEO Academy is legally required by HMRC to collect and report certain information about your activity and earnings on the platform to HMRC annually.  
 
This applies to both UK-resident and non-UK resident tutors whose country of tax residence has an information exchange agreement with the UK (which includes most countries).  
 
The information reported will include your name, address, date of birth, Tax Identification Number (e.g., UK National Insurance Number, Italian Codice Fiscale, Indian PAN etc.), total gross earnings received via the platform, number of transactions, and any fees/commissions withheld by the platform. This information will also be provided to you. 
 
You agree to provide all necessary and accurate information to TEO Academy to enable us to comply with these legal reporting obligations, and you authorise us to share this information with HMRC and relevant foreign tax authorities as required by law. 
 
Professional Conduct: You agree to provide high-quality tutoring services, maintain professional conduct, and adhere to any guidelines or codes of conduct provided by TEO Academy.  
 
You will be required to present a valid DBS certificate (or equivalent if outside of the UK) before conducting sessions with anyone under the age of 18. While self-employed tutors might not have a legal obligation, as a reputable online tutoring platform operating in the UK, TEO Academy require DBS certificates (or international equivalent) from their tutors as a safeguarding measure. Details of the verification methods will be apparent on signup. 
 
Refunds and Disputes: You acknowledge that refunds or chargebacks initiated by students will impact your earnings. TEO Academy will manage refunds and, in the event of a chargeback, may debit the disputed amount from your connected Stripe account. You agree to cooperate with TEO Academy in resolving any disputes.

Any mistakes in translations to other languages regarding this policy on the Platform or otherwise are open to mistakes or factual misinterpretations and the Platform does not accept responsibility for the errors of alternative language.  
 
Likewise the information provided on this platform supersedes any information about the Platform or it's services that may appear on alternative websites, social media etc.
